TERMS OF USE

These Terms of Use (“Terms”) set forth the conditions for providing the official online store of “SERIOUS CERAMIC” (the “Service”) operated by Seiwa Ceramics Co., Ltd. (the “Company”), as well as the rights and obligations between the Company and registered users.

In using the Service, users are required to read these Terms in full and agree to them.

1. Applicability

  1. These Terms apply to all relationships between the Company and registered users regarding the provision and use of the Service.
  2. The Shopping Guide and other rules posted on the Service by the Company shall form an integral part of these Terms.
  3. In the event of any discrepancy between these Terms and the Shopping Guide or other descriptions related to the Service, these Terms shall prevail.

2. Definitions

The following terms used in these Terms shall have the meanings set forth below:

  1. “Service Agreement”
    An agreement for use of the Service concluded between the Company and a registered user in accordance with these Terms.
  2. “Intellectual Property Rights”
    All intellectual property rights, including copyrights, trademark rights, design rights, patent rights, and any other related rights.
  3. “Company”
    Seiwa Ceramics Co., Ltd.
  4. “Company Website”
    The official “SERIOUS CERAMIC” website operated by the Company and any related websites.
  5. “Registered User”
    An individual or legal entity registered as a user of the Service in accordance with these Terms.
  6. “Products”
    Tiles, samples, and other related products sold by the Company through the Service.

3. Registration

  1. Any person wishing to use the Service may apply for registration by agreeing to these Terms and providing the information specified by the Company.
  2. The Company shall determine whether to approve the registration based on its own criteria and will notify the applicant upon completion of registration.
  3. Upon completion of registration, a Service Agreement shall be deemed to have been formed between the Company and the registered user.
  4. The Company may refuse or cancel registration without disclosing the reason in any of the following cases:
    • The registration information contains false statements or errors
    • The applicant is a minor without the consent of a legal guardian
    • The applicant is determined to be affiliated with antisocial forces
    • The applicant has previously violated these Terms
    • Any other case in which the Company deems registration inappropriate

4. Changes to Registration Information

Registered users shall promptly update their registration information using the method prescribed by the Company if any changes occur.

5. Management of ID and Password

  1. Registered users shall manage their ID and password at their own responsibility.
  2. The Company shall not be liable for any damages caused by unauthorized use by third parties.

6. Prohibited Conduct

Registered users shall not engage in any of the following acts:

  1. Acts that violate laws or public order and morals
  2. Acts that infringe upon the rights or interests of the Company or third parties
  3. Acts that interfere with the operation of the Service
  4. Unauthorized access or impersonation
  5. Fraudulent purchases for the purpose of resale
  6. Any other acts deemed inappropriate by the Company

7. Suspension or Interruption of the Service

The Company may suspend or interrupt all or part of the Service due to unavoidable reasons such as maintenance, system failures, or natural disasters.

8. Intellectual Property Rights

All intellectual property rights related to the Service and its contents belong to the Company or the rightful rights holders.

9. Formation of Purchase Agreement

  1. A sales contract shall be formed at the time the Company sends an order confirmation email after a user submits a purchase request.
  2. Even after a contract is formed, the order may be canceled due to inventory status or other unavoidable circumstances.

10. Payment, Delivery, and Returns

Payment methods, delivery, and conditions for returns and exchanges shall be governed by the Shopping Guide separately provided by the Company.

11. Disclaimer

The Company shall not be liable for any damages arising from the use of the Service or Products, except in cases of willful misconduct or gross negligence by the Company.

12. Changes to the Terms

The Company may revise these Terms as necessary. The revised Terms shall take effect from the time they are posted on the Company’s website.

13. Governing Law and Jurisdiction

These Terms shall be governed by the laws of Japan.
Any disputes arising in connection with the Service shall be subject to the exclusive jurisdiction of the Gifu District Court as the court of first instance.
